Terms and Conditions

These Terms and Conditions (the “Terms”) govern access to and use of Cenavio, a hotel property-management and direct-booking platform provided by PixelMakers Studio SRL (“PixelMakers”, “Cenavio”, “we”, “us”). PixelMakers Studio SRL is a Romanian company with registered office at 23 Ion Campineanu Street, Sector 1, Bucharest, Romania, VAT number RO43917962.
By creating an account, accepting an order form, or using Cenavio, you agree to these Terms. If you use Cenavio for an organization, you confirm that you have authority to bind that organization.
1. The service
Cenavio provides software for managing properties, rooms, rates, availability, reservations, guests, operations, payments, reporting, and direct-booking websites. Features may vary by plan, configuration, country, and connected services.
Cenavio is a technology provider. You remain the accommodation provider and are responsible for the hospitality services sold to guests, including descriptions, prices, availability, house rules, cancellations, refunds, taxes, registrations, licences, and compliance with tourism and consumer law.
2. Accounts and organizations
You must provide accurate account information, keep credentials secure, use reasonable access controls, and promptly remove access for people who no longer need it. You are responsible for activity performed through your organization, including activity by staff, contractors, and integrations you authorize.
You must notify us promptly if you suspect unauthorized access. We may require identity or authority checks before changing ownership, billing, or security-sensitive settings.
3. Acceptable use
You may use Cenavio only for lawful hotel and accommodation operations. You must not:
- use the service to violate law, third-party rights, sanctions, or payment-network rules;
- upload malware, attempt unauthorized access, probe or disrupt the service, or bypass security or usage controls;
- send unlawful or unsolicited communications, impersonate others, or process data without a valid legal basis;
- reverse engineer or copy protected parts of the service except where applicable law expressly permits it; or
- use Cenavio to build or train a competing product from non-public features, documentation, or data.
4. Reservations, availability, and guest relationships
You control inventory, rates, restrictions, policies, and reservation decisions. You must review configuration and keep it accurate. Cenavio assists with availability and operational workflows but does not replace your obligation to verify exceptional cases, resolve guest disputes, or meet contractual obligations to guests.
A browser redirect or on-screen status alone does not prove that a payment is complete. Payment status should be confirmed from verified payment-provider events or an explicit, audited staff action.
5. Payments
Payment features may be provided through Stripe or another disclosed payment provider. Their terms, identity checks, reserves, payout schedules, restricted-business rules, disputes, and fees apply in addition to these Terms. You authorize Cenavio to transmit payment instructions and related data to the provider as needed to deliver the feature.
You are responsible for amounts charged to guests, refunds, chargebacks, taxes, receipts, and the accuracy of payment instructions. Cenavio does not hold customer funds unless we expressly agree otherwise in writing.
6. Fees, billing, and taxes
Plan fees, usage fees, billing periods, included limits, and taxes are stated in your order form or checkout. Unless the order form says otherwise, subscriptions renew automatically for the same period until cancelled. You authorize us and our payment provider to charge amounts when due.
Fees are non-refundable except where required by law or expressly stated in the order form. We may suspend paid features after reasonable notice if undisputed amounts remain overdue. You are responsible for applicable taxes other than taxes on our net income.
7. Customer data and data protection
You retain ownership of data you or your users submit to Cenavio (“Customer Data”). You grant us the limited rights needed to host, process, secure, back up, transmit, and display Customer Data to provide and improve the service, comply with law, and prevent abuse.
For account, billing, and business-contact data, PixelMakers generally acts as controller. For guest and operational personal data processed on your instructions, you are the controller and PixelMakers acts as processor. You must provide required notices, establish a lawful basis, honor data-subject rights, and avoid entering unnecessary sensitive data.
Our handling of personal data is described in the Privacy Policy. A data processing agreement is available where required.
8. Security and confidentiality
Each party must protect the other party’s confidential information with reasonable care and use it only for the relationship. Confidential information does not include information that is public without breach, already lawfully known, independently developed, or lawfully obtained from another source.
We maintain technical and organizational safeguards appropriate to the service, including organization-scoped access and database controls. No system is completely secure. You are responsible for endpoint security, user permissions, exports, connected applications, and secure use of credentials.
9. Connected services
You may connect third-party products such as payment, accounting, communications, identity, or distribution services. Your use of them is governed by their terms. You instruct us to exchange the data necessary for an enabled connection. We are not responsible for a third party’s service, acts, changes, or availability.
10. AI-assisted features
Cenavio may offer AI-assisted drafting, search, summaries, recommendations, or automation. Output can be incomplete or incorrect and must be reviewed by a competent person before it is used for guest communication, pricing, finance, legal compliance, safety, or other consequential decisions. Do not submit data that you are not authorized to process.
11. Intellectual property and feedback
PixelMakers and its licensors own Cenavio, its software, documentation, design, trademarks, and related intellectual property. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business operations during the subscription.
If you provide feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission. You are responsible for ensuring that Customer Data and materials you publish do not infringe third-party rights.
12. Availability, changes, and support
We aim to operate a reliable service but do not promise uninterrupted availability. Maintenance, security incidents, internet failures, providers, and events outside our reasonable control may affect access. Support scope and any service levels are those stated in your plan or order form.
We may change features to improve security, compliance, performance, or usability. We will give reasonable notice of a material reduction in core paid functionality when practicable.
13. Suspension and termination
You may cancel as described in the product or order form. We may suspend or terminate access for material breach, security risk, unlawful use, overdue undisputed fees, or where required by law. When reasonable, we will give notice and an opportunity to cure.
After termination, your right to use the service ends. Subject to law, security, and payment of undisputed amounts, we will provide a reasonable opportunity to export commonly available Customer Data. We may then delete or anonymize data according to our retention schedule and legal obligations.
14. Warranties and disclaimers
Each party warrants that it has authority to enter into these Terms. The service is provided with reasonable care and skill. To the maximum extent permitted by law, other warranties are excluded, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Cenavio does not guarantee occupancy, revenue, guest satisfaction, legal compliance, or results from third-party or AI features.
15. Liability
Neither party is liable for indirect, incidental, special, exemplary, or consequential loss, or for lost profit, revenue, goodwill, or data, except where such exclusion is prohibited by law. Each party’s aggregate liability arising from the service is limited to fees paid or payable for the service in the twelve months before the event giving rise to the claim.
The limitations do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality, infringement or misappropriation of the other party’s intellectual property, payment obligations, or liability that cannot legally be limited.
16. Indemnity
You will defend and indemnify PixelMakers against third-party claims arising from your accommodation services, Customer Data, unlawful use of Cenavio, guest-facing terms, or breach of law or these Terms. We will defend and indemnify you against a third-party claim that your authorized use of Cenavio infringes that party’s intellectual property, subject to prompt notice and our control of the defence.
17. General
Neither party may assign these Terms without the other’s consent, except in connection with a merger, reorganization, sale of substantially all assets, or to an affiliate, provided the assignee can perform the obligations. Neither party is liable for delay caused by events beyond reasonable control.
If part of these Terms is unenforceable, the remainder continues. Failure to enforce a provision is not a waiver. These Terms, the order form, the Privacy Policy, and any applicable data processing agreement form the entire agreement and replace earlier discussions about the service.
These Terms are governed by Romanian law, without regard to conflict-of-law rules. The courts of Bucharest, Romania have exclusive jurisdiction, unless mandatory law requires another forum.
18. Changes and contact
We may update these Terms. We will post the revised version and update the date above. If a change materially affects your rights, we will provide reasonable notice. Continued use after the effective date constitutes acceptance where permitted by law.
